Siemens Corporation seeks a Senior Tax Counsel to spearhead strategic initiatives within our Tax Department, focusing on optimizing value through the implementation of beneficial tax strategies. This role entails leading proactive tax planning, conducting transaction due diligence and structuring, and contributing to global tax compliance and accounting efforts while cultivating a high-performing tax team. Direct collaboration with operational and functional management across the organization is integral.

The ideal candidate will possess a diverse tax background enabling seamless interaction with various tax and business functions, demonstrating exceptional strategic acumen, multitasking ability, and adeptness in navigating a spectrum of anticipated and unforeseen challenges with composure and effectiveness.

We are looking for a Senior Tax Counsel with the position located in Iselin, NJ. Siemens works on a hybird approach.

Responsibilities:

Mergers, Acquisitions, Dispositions Joint-Ventures & Corporate Integration

  • Facilitate the planning and implementation of mergers, acquisitions and divestures in a tax efficient manager.

  • Provide guidance and planning with respect to Company participation in joint ventures and strategic partnerships.

  • Provide tax support in post-acquisition business integration.

  • Interface with the Tax Compliance Team to ensure that all required statements and elections regarding transactions are properly included in the Company’s tax filings.

Tax Controversy

  • Manage a team dedicated to the efficient disposition of Siemens U.S. tax examinations.

  • Develop strategies and provide technical analysis in supporting Siemens position in the case of unagreed tax positions with the relevant authorities.

  • Team with outside counsel and other consultants in the case of tax litigation.

Tax Planning

  • Team with Director for Planning & Reporting to develop and implement planning that will effectively manage the overall tax burden for the Company.

  • Develop a thorough an understanding of Company operations and financial reporting systems to proactively seek tax planning opportunities.

  • Interpret tax laws and rulings to resolve questions from the business and senior management.

  • Stay current on proposed and final tax law changes and work with strategic business partners to promote awareness and assess potential impacts to Siemens from such changes.

  • Establish and maintain relationships with outside advisors to assess beneficial tax strategies for the Company. Manage interactions with outside advisors during the proposal and project phases of a particular engagement.

Leadership

  • Collaborate with other Tax Department functions on a variety of special projects including Competent Authority proceedings, valuations, and transfer pricing.

  • Manage and develop a high-performing expert team, providing coaching, guidance, and support to team members.

  • Foster a culture of diversity, equity, and inclusion within the organization, championing initiatives that promote a sense of belonging and positive work environment for all employees.

Requirements are:

  • A minimum of 15 years of experience in roles of increasing responsibility within the tax function, gained from industry, law firms, and/or public accounting firms.

  • A Juris Doctor (JD) degree is required. Additionally, preference may be given to candidates with an LLM (Master of Laws) in Taxation and/or a Bachelor's degree in Accounting or Finance.

  • Strong written and verbal communication skills are essential. You should be able to effectively interact with individuals at all levels of management and possess a proactive personality.

  • The ability to convey complex tax concepts in plain English is highly desirable. This skill is crucial for effective communication with stakeholders who may not have a tax background.

  • You must possess strong technical tax knowledge and analytical skills. This includes staying updated with tax regulations and industry trends.

  • The ability to communicate, negotiate, influence, and implement change within the tax organization and other departments of the company, even without direct authority, is important. This requires strong leadership skills and the ability to work collaboratively with cross-functional teams.

  • The pay range for this position is $203,700 - $349,200 along with a 25% incentive bonus structure. The actual wage offered may be lower or higher depending on budget and candidate experience, knowledge, skills, qualifications and premium geographic location.
