OraSure Technologies, Inc. Associate General Counsel in Ottawa, Canada
Primary legal resource for the Company’s molecular collections and services business (the “Molecular Business”). Position will be based at the Company’s DNA Genotek (“DNAG”) subsidiary in Ottawa Canada. Provide legal advice to management concerning legal rights, obligations, and privileges of DNAG and other US-based and foreign affiliates within the Molecular Business. Responsibilities include providing advice on commercial and corporate matters including the preparation, review and/or negotiation of a variety of business agreements, contracts, and other legal documents as needed, and assistance with employment matters in Canada. This position will serve on the Company’s Leadership Team.
Commercial - Primary attorney for review and negotiation for all contracts for the Molecular Business.
Review wide variety of contracts including purchase agreements, distribution agreements, consulting and non-disclosure agreements, services agreements, material transfer agreements, licenses.
Maintain and update contract templates to improve efficiency in completing commercial arrangements.
Provide training to relevant functional areas within the Molecular Business on contract terms and contract review policy.
Coordinate with OraSure General Counsel and Deputy General Counsel on contract templates, contracts data base, standard terms and training
Compliance - Support legal compliance function within Molecular Business.
Administer Code of Conduct.
Administer anti-kickback review of sponsorship, gift and similar requests.
Assist Deputy General Counsel with timely reporting under Sunshine Act and State anti-kickback requirements.
Work with IT department to ensure compliance with privacy regulations (i.e. HIPAA, GDRP).
Training - Assist General Counsel in overseeing training of Molecular Business employees for legal and policy compliance.
Business Development - Assist General Counsel on business development matters as needed, including due diligence, contract drafting and transaction closing.
Human Resources/Employment - Serve as primary lawyer for Canadian HR and employment matters.
Assist in the review and update of employee handbook and key HR policies.
Serve as primary attorney on employment claims.
Assist in preparation of employment, repayment, severance and other employment related documents.
Litigation - Assist the General Counsel as needed with respect to handling and supervision of outside counsel for litigation involving the Molecular Business.
- JD from an accredited law school in the US or Canada.
Minimum 5 to 10 years of experience with commercial, corporate, employment and transactional matters; licensing or intellectual property experience a plus.
Understanding of US and Canadian law; other international expertise a plus (i.e. Europe).
Work experience at a major law firm or corporate legal department.
